  • [01] La Commission approuve la fusion Sanofi-Synthélabo

    La Commission européenne a autorisé l'opération suivant laquelle Sanofi, contrôlée par le groupe Elf-Aquitaine, et Synthélabo, contrôlée par le groupe L'Oréal, seront regroupées au sein d'une nouvelle société, dénommée Sanofi-Synthélabo. Les activités fusionnées comprennent les secteurs de la santé, de la chimie et de la beauté (l'activité beauté de Sanofi sera transférée à la nouvelle entité). La présente opération constitue une entreprise commune contrôlée conjointement par Elf-Aquitaine à 35,1% et L'Oréal à 19,4% du capital. L'analyse concurrentielle des 27 marchés de produits pharmaceutiques et des 20 marchés de produits de beauté affectés a montré que l'opération ne crée ni ne renforce une position dominante individuelle ou collective.

    [02] Commission approves the acquisition of the foundry business of Renault by Teksid

    The European Commission has given its agreement to the operation whereby Teksid (belonging to the Fiat Group) acquires the whole of the participation held by Renault in companies belonging to the Renault Goup (Renault) which operate in the foundry sector (automotive components), therefore acquiring sole control. These companies are collectively referred to as "ATS". The merger will affect especially the markets for engine footings, cylinders heads and differential boxes. The material used by the two parties for this kind of productions are basically cast iron and aluminium. Although the two companies belong to two major European car producers, on the free market, in none of the above mentioned product markets, Teksid and ATS together will have a significant combined market share, be it respectively around 20% for the engine footings, around 16% for the cylinders heads and around 20% for the differential boxes. There will be no major change in the ultimate market share, even taking into account the materials used (cast iron or aluminium). The market for these components is currently characterised by the relatively strong presence of independent car component suppliers.

    [03] La Commission autorise la création d'une entreprise commune entre Thomson-CSF et Racal Electronics

    La Commission européenne a autorisé la création d'une entreprise commune de plein exercice par Thomson-CSF et Racal Electronics. La nouvelle société, MBN Ltd. (MBN), sera présente dans le domaine des télécommunications mobiles terrestres militaires, où elle fournira des réseaux locaux mobiles tactiques à hautes performances. La Commission est parvenue à la conclusion que la création de MBN ne crée et ne renforce pas de position dominante sur un marché de produit ou un marché géographique en cause.

    [04] Commission approves acquisition of sole control of ABB Daimler Benz Transportation by Daimler Chrysler AG

    The European Commission has approved the acquisition of sole control of ABB Daimler Benz Transportation (Adtranz), Germany, by DaimlerChrysler AG, Germany. The proposed operation concerns all activities in the field of rail technology. The Commission found that the proposed operation would not lead to the creation or strengthening of a dominant position.

    [05] La Commission rend compte de la transposition de la Directive sur les travailleuses enceintes

    La Commission européenne a adopté aujourd'hui son rapport sur l'état d'avancement, dans les Etats membres, de la transposition de la Directive de 1992 visant à améliorer la santé et la sécurité au travail des femmes enceintes ou venant d'accoucher. Ce rapport - le premier de ce type - brosse un tableau détaillé des droits des travailleuses enceintes dans toute l'Union européenne (UE). Dans l'ensemble, il est optimiste sur le niveau de conformité atteint par rapport à la Directive, mais identifie certains problèmes et des différences d'un Etat membre à l'autre de l'UE.

    [06] Statement by Mr Franz Fischler

    Comments by the US Agriculture Secretary on the Common Agriculture Policy (CAP) reform agreement that it is "not much more than maintaining the status quo" were described by Mr Franz Fischler, European Commissioner of Agriculture and Rural Development, as incredible and regrettable. It would have been wiser, he said, had Mr Glickman taken some time to study and analyse the agreement in detail before drawing conclusions. Had he done so, he would have appreciated that this is the most radical reform ever carried out in the history of the CAP and all the more significant given that it comes on top of the substantial changes introduced in 1992. Taken together both reforms mean a total reduction in cereal support prices by over 50%, beef by over 40% and milk by over 18% - hardly what one could describe as "status quo", he said. The US have always had difficulty understanding the philosophy underlying the CAP and the attachment the European Union governments and citizens have to ensuring the protection of Europe's rural heritage and it is unfortunate that the many years of discussions and clarifications do not seem to have led to any greater appreciation on their part, he added.

    [07] L'emploi en hausse de 1,5% dans la zone euro et dans l'UE15

    Dans la zone euro et dans l'Union européenne (UE15), l'emploi a augmenté de 1,5% au quatrième trimestre 1998 par rapport au quatrième trimestre 1997, selon les données publiées aujourd'hui par Eurostat, l'Office statistique des Communautés européennes à Luxembourg. Cette augmentation correspond à la création d'environ 1,7 million d'emplois dans la zone euro et d'environ 2,3 millions d'emplois dans l'UE15. La croissance de l'emploi a été particulièrement forte au Luxembourg (4,7%), au Portugal (4,3%) et en Espagne (3,3%).
