  • [01] Gouvernement d'entreprise : proposition de la Commission visant √ faciliter l'exercice des droits des actionnaires au sein de l'UE

    La Commission europ√©enne a pr√©sent√© une proposition de directive visant √ faciliter l'exercice transfrontalier des droits des actionnaires dans les soci√©t√©s cot√©es par l'introduction de normes minimales. La directive propos√©e cherche √ assurer que les actionnaires, o√Ļ qu'ils r√©sident dans l'UE, aient acc√®s en temps utile √ des informations compl√®tes et qu'ils disposent de moyens simples pour exercer certains droits ‚Äď droit de vote notamment ‚Äď √ distance.

    [02] Plaice and sole in the North Sea : a long-term plan for healthier stocks and economic returns

    Today, the European Commission adopted a proposal on a long-term management plan for plaice and sole fisheries in the North Sea which, according to scientists are fished at unsustainable levels. Conservation and economic viability are closely linked, and the management plan for North Sea plaice and sole is designed to gradually adjust the fishing on these stocks to achieve greater catches, larger and more stable stocks of fish in the sea and more profitable fisheries. The plan therefore defines target levels of fishing mortality (measure of fish killed by fishing) of 0.3 for plaice and 0.2 for sole. These are values which, according to scientific advice, will allow high yields in the long term, reduce discarding, and allow a reduced biological risk to the fish stocks. The tools to achieve these objectives are the same as those in the other long-term plans already in place. Fishing mortality will be reduced by 10% year-on-year until the target levels have been reached, while annual variations in TACs will be kept within 15% up or down. Other measures will involve the management of fishing days and specific control and monitoring measures. This proposal, which follows extensive consultations with stakeholders, will restore the fishery to long-term biological and economic viability and result in reduced impact on the environment while avoiding major disruptions to the industry.

    [03] Droits des passagers aériens : la Cour de justice européenne confirme la légalité des règles communautaires

    La Cour de justice européenne a confirmé aujourd'hui la validité de la législation communautaire relative aux droits des passagers aériens. Entrée en vigueur le 17 février 2005 (IP/05/181), cette législation a permis d'améliorer très significativement la protection des droits des passagers aériens dans l'UE en cas de refus d'embarquement, d'annulation de vol ou de retard important.

    [04] Commission clears acquisition of Zedo by Endesa Europa

    The European Commission has granted clearance under the EU Merger Regulation to the acquisition of sole control of Zesp√≥Ňā Elektrowni Dolna Odra Sp√≥Ňāka Akcyjna in Nowe Czarnowo S.A. (Zedo), a company currently wholly owned by the Polish Ministry of State Treasury and mainly active in the electricity and heating sectors in Poland, by Endesa Europa of Spain, belonging to the Endesa group. Endesa is a Spanish electricity operator also active in the gas sector. Endesa Europa is present in the electricity sector in other European countries, including Poland. The operation was examined under the simplified merger review procedure.

    La Commission europ√©enne a adopt√© une communication pr√©sentant une solution envisageable pour lutter contre les co√Ľts de mise en conformit√© et autres difficult√©s li√©es √ l'imposition des soci√©t√©s que rencontrent les petites et moyennes entreprises (PME) lorsqu'elles effectuent des activit√©s transfrontali√®res. La Commission propose aux Etats membres de donner la possibilit√© aux PME de calculer leurs b√©n√©fices imposables selon les r√®gles fiscales de l'Etat de r√©sidence de la soci√©t√© m√®re ou du si√®ge social. Une PME souhaitant √©tablir une filiale ou une succursale dans un autre Etat membre pourrait ainsi se conformer √ ses obligations fiscales et d√©poser sa d√©claration d'imposition dans un pays dont les r√®gles lui sont famili√®res. L'¬ęimposition selon les r√®gles de l'Etat de r√©sidence¬Ľ aurait un caract√®re facultatif aussi bien pour les Etats membres que pour les entreprises et prendrait la forme d'un syst√®me pilote d'une dur√©e de cinq ans. L'enqu√™te sur la fiscalit√© en Europe r√©alis√©e par la Commission en 2004 (voir IP/04/1091) a montr√© que les activit√©s transfrontali√®res ont pour effet d'accro√ģtre les co√Ľts assum√©s par les entreprises pour se mettre en conformit√© avec les r√®gles applicables dans le domaine de l'imposition des soci√©t√©s et de la TVA, et que ces co√Ľts sont proportionnellement plus √©lev√©s pour les PME que pour les grandes entreprises.

    [06] Internal market : Commission acts to ensure seven Member States implement EU laws

    The European Commission has decided to pursue infringement procedures against seven Member States for failure to implement in national law one or more of eight different Internal Market Directives. The Commission has decided to refer the following Member States to the European Court of Justice over non-communication of national measures implementing certain Directives : the Czech Republic regarding Directives on recognition of dental and medical qualifications ; Estonia regarding a Directive on postal services ; Greece and Italy regarding the Accounting Modernisation Directive ; Luxembourg and Sweden regarding a Directive on supplementary supervision of financial conglomerates ; and Greece regarding a Directive on reorganisation and winding up of credit institutions. In addition, the Commission has decided, under Article 228 of the EC Treaty, to send further "reasoned opinions" to France, requesting it to comply immediately with a previous judgement of the Court on its non-implementation of the 2001 Copyright Directive, and to Luxembourg, requesting it to comply immediately with a previous Court judgement requiring it to implement EU law on legal protection of biotechnological inventions. If France and Luxembourg do not comply, the Commission can ultimately ask the Court to impose daily fines.

    [07] Services financiers : 2005 a été une année de résultats, selon le rapport de la Commission

    La Commission européenne a publié son rapport intermédiaire sur le marché unique des services financiers, dans lequel elle passe en revue ce qui a été accompli depuis le milieu de 2004. Le rapport conclut que des progrès significatifs ont été réalisés dans la voie de l'intégration financière européenne. Non seulement 98% des actions prévues dans le cadre du plan d'action pour les services financiers ont été achevées dans les délais, mais les travaux ont également commencé en ce qui concerne la mise en oeuvre de ces mesures, qui est cruciale. Des progrès considérables ont été accomplis également dans les secteurs du gouvernement d'entreprise et du droit des sociétés, de la lutte contre la criminalité financière, de la comptabilité et de l'audit.

    [08] Reinforcing civilian crisis management capacity in the EU

    Meeting in Vienna on 9 January, the Austrian Chancellor Wolfgang Sch√ľssel and the European Commission President Jos√© Manuel Barroso agreed to give a mandate to former Commissioner and French Foreign Minister Michel Barnier to draw up a report on ways of further developing the EU's civilian crisis management capacity in third countries, including consular assistance. President Barroso stated: "I am delighted to announce the appointment of Mr Barnier. This is an important result of this joint meeting. The EU is greatly sollicited for civilian crisis management - we already have a lot to offer but there is huge potential to build on existing policies in an area with direct resonance with Europe's citizens. Everyone stands to gain from intensified EU cooperation in this field." He added: "Michel Barnier's background eminently qualifies him, through his European and national experience, to come up with creative ways of improving the EU's capacity to deal with civilian crisis management." Mr Barnier will submit his report to the Presidency and to the Commission before the end of the Austrian Presidency on 30 June 2006. He will act as special adviser to the Commission.
